Terms of Service

These Terms of Service ("Terms") govern your use of the Retain mobile application ("the App") operated by Retain App LLC ("we," "us," "our"). By creating an account or using the App, you agree to these Terms.

1. The Service

Retain is a task management application that lets you create, organize, and manage todos, projects, and categories. The App also offers an MCP (Model Context Protocol) integration that allows compatible AI assistants to interact with your tasks on your behalf.

2. Accounts

You must provide a valid email address and password to create an account.
You are responsible for maintaining the security of your account credentials.
You are responsible for all activity that occurs under your account.
You must be at least 13 years old to use the App.
We reserve the right to suspend or terminate accounts that violate these Terms.

3. Free and Pro Tiers

Free tier — Full core functionality with usage limits (number of projects, categories, active todos, and API keys). Free tier limits may be adjusted over time; we will not retroactively restrict data you have already created.
Pro tier — Expanded limits and additional features, available via monthly or annual subscription through the platform app store (Google Play or Apple App Store).

Subscription billing, renewal, and cancellation are handled by RevenueCat and your platform app store. Refunds are subject to the refund policies of Google Play or Apple, not Retain.

4. API Keys and MCP Access

You may generate API keys to allow third-party AI assistants (e.g., Claude) to access your task data via the MCP server.
API keys grant full read and write access to your tasks. Treat them like passwords.
You are responsible for any actions taken through your API key, whether by you or an AI assistant acting on your behalf.
You can revoke API keys at any time from the App. Revocation is immediate.
We store only a one-way hash of your API key. Lost keys cannot be recovered; you must generate a new one.

5. Acceptable Use

You agree not to:

Use the App for any unlawful purpose
Attempt to access another user's data or account
Reverse engineer, decompile, or disassemble the App
Circumvent rate limits, authentication, or security measures
Use automated tools to scrape or bulk-access the service beyond the provided MCP interface
Transmit malicious code, spam, or harmful content through the App
Resell or redistribute access to the App or its API

6. Your Content

You retain full ownership of all content you create in Retain (todos, notes, projects, categories, subtasks).
We do not claim any intellectual property rights over your content.
We access your content only to provide and maintain the service.
We do not use your content to train AI models or for any purpose beyond delivering the service to you.

7. AI Integration Disclaimer

When you use the MCP integration to allow an AI assistant to manage your tasks:

The AI assistant operates using the permissions you grant via your API key.
We are not responsible for actions taken by third-party AI assistants (e.g., completing, deleting, or modifying your tasks).
AI-generated content (e.g., todos created by Claude) is attributed with a source label but is your responsibility to review.
The MCP server faithfully executes the operations requested by the AI assistant within the bounds of your account's permissions and tier limits.

8. Account Deletion

You may delete your account at any time from the App's Settings screen.
Account deletion is immediate and irreversible. All data associated with your account is permanently deleted.
If you have an active Pro subscription, you must cancel it through your platform app store before or after deleting your account. Deleting your Retain account does not automatically cancel store billing.

9. Service Availability

We strive to keep Retain available at all times but do not guarantee uninterrupted service.
We may perform maintenance, updates, or modifications that temporarily affect availability.
We reserve the right to discontinue the App with reasonable notice. In such an event, we will provide a way to export your data before shutdown.

10. Limitation of Liability

To the maximum extent permitted by law:

The App is provided "as is" without warranties of any kind, express or implied.
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.
Our total liability for any claim related to the App shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.
We are not responsible for data loss resulting from circumstances beyond our reasonable control, including but not limited to third-party service outages.

11. Indemnification

You agree to indemnify and hold harmless Retain App LLC from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the App, your violation of these Terms, or your violation of any third party's rights.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, through in-app notification. Continued use of the App after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict of law principles. Any disputes arising from these Terms or the App shall be resolved in the courts of [Your State].
